PUBLIC OFFER AGREEMENT
This Agreement (the "Agreement") is a Public Offer Agreement (Article 396 of the Civil Code of the Republic of Belarus) that defines procedures for the provision of services (the "Services"), mutual rights, obligations, and the relationship between Surapin Anton Andreyevich private entrepreneur (registered by the Slutsk district executive committee on October 19, 2018. VAT ID 692062615), hereinafter referred to as "Contractor" and a client, hereinafter referred to as "Client" who accepted a public offer of this Agreement.


1. KEY TERMS USED IN THE PRESENT AGREEMENT

1.1. This Agreement is a Public Offer Agreement of the Contractor in compliance with paragraph 2 to the Article 407 of the Civil Code of the Republic of Belarus on the basis of which the Contractor will conclude the Agreement with any Client who agrees to conclude it.

1.2. This Agreement is concluded by the Client's accession to this Agreement, i.e. through acceptance of the terms of this Agreement by the Client in general, without conditions, withdrawals, or provisos (Article 398 of the Civil Code of the Republic of Belarus).

1.3. The Client accepts the terms of this Agreement by ordering services and paying for them.

1.4. This Agreement is concluded in a simple written form providing that the Client accepted it in compliance with the procedure (paragraph 2, 3 to the Article 404, paragraph 3 to the Article 408 of the Civil Code of the Republic of Belarus).

1.5. The Parties accept that the place of this Agreement is the location of the Contractor.


2. SUBJECT OF THE AGREEMENT

2.1. The Contractor is obliged to provide the Services, and the Client is obliged to accept and pay for the Services provided by the Contractor in compliance with the procedure and under the terms of this Agreement.

2.2. The list of the Services that may be provided within the framework of this Agreement, time frame of service provision, and other information necessary for provision of services is published on a Contractor's website at: https://yourhandsinbelarus.com/ and/or is explained through communication by phone or on the Internet.

2.3. The Contractor reserves the right to change this Public Offer Agreement. In view of the foregoing, the Client shall study the most recent version of this Agreement and other information before getting the Services.


3. CONCLUSION OF THIS AGREEMENT AND PAYMENT FOR THE SERVICES OF THE CONTRACTOR

3.1. This Agreement is a Public Offer Agreement (Article 396 of the Civil Code of the Republic of Belarus). In compliance with the present Agreement, the Contractor takes on an obligation to render the Services to an unspecified number of people (Clients) who ask for the Services.

3.2. Publication of the text of this Agreement on https://yourhandsinbelarus.com/ website is a public offer of the Contractor to an unspecified number of people to conclude this Agreement (paragraph 2 to Article 407 of the Civil Code of the Republic of Belarus).

3.3. This Agreement is concluded by the Client's accession to this Agreement, i.e. through acceptance of the terms of this Agreement by the Client in general, without conditions, withdrawals, or provisos (Article 398 of the Civil Code of the Republic of Belarus). In view of the foregoing, study carefully the text of this Agreement, and if you disagree with any clause of the offer, you may decline the Services provided by the Contractor.

3.4. The Client accepts the terms of this Agreement by ordering services and paying for them in compliance with the procedure and under the terms of this Agreement (paragraph 3 to Article 408 of the Civil Code of the Republic of Belarus).

3.5. If the payment is conducted in compliance with the procedure, this Agreement is concluded in a simple written form (paragraph 2, 3 to Article 404 and paragraph 3 to Article 408 of the Civil Code of the Republic of Belarus), does not require paperwork, and has legal force.

3.6. This Public Offer is valid in the version and on the terms that existed at the moment of payment.

3.7. Payment for the Services is made in compliance with the terms of this Agreement specified in Cl. 5.2.


4. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1. The Contractor shall:

4.1.1. Provide the Services to the Client in the quantity and within the time frame agreed by the Parties to this Agreement.

4.1.2. Provide the Client with correct information concerning the nature and quantity of the Services, place and means of their provision, cost of the Services, terms of payment (if they differ from those specified in Cl.5.2 of this Agreement), and other information necessary for meeting the terms of this Agreement through publication of details on https://yourhandsinbelarus.com/ website or/and communication by phone or on the Internet.

4.1.3. Immediately inform the Client about force-majeure circumstances that can influence the quantity, quality, and cost of the Services provided by the Contractor through publication of up-to-date information on https://yourhandsinbelarus.com/ website and/or private consultations no later than one calendar day before provision of the services, or at the moment of emergence of force-majeure circumstances;

4.2. The Contractor has the right to:

4.2.1. Unilaterally change and complement this Agreement. The Client is regarded to be duly informed about the changes from the moment of publication of the updated version of this Agreement on https://yourhandsinbelarus.com/ website.

4.2.2. Engage third parties in fulfilling the obligations arising from this Agreement and use the services/works of third parties who offer the possibility of rendering the Services stated in the present Agreement.

4.2.3. Claim damages in case the Client caused damage to the property of the Contractor and/or third parties.

4.3. The Client shall:

4.3.1. Fully cover the damages incurred in case the Client caused damage to the property of the Contractor and/or third parties.

4.3.2. Comply with the terms of the present Agreement.

4.3.3. Pay for the Services in compliance with the terms of this Agreement.

4.4. The Client has the right to:

4.4.1. Demand the proper provision of the Services in compliance with this Agreement.


5. COST, TIME FRAME OF SERVICE PROVISION, AND PROCEDURE

5.1. The cost of the services provided within the framework of this public offer is calculated according to the type, quantity, additional parameters, and prices of the services chosen by the Client. Information about the Services is published on https://yourhandsinbelarus.com/ website or/and is explained through communication by phone or on the Internet.

5.2. Payment for the Services under this Agreement is made on the basis of a 100% prepayment and non-cash payment such as Internet acquiring, no later than 1 (one) working day before provision of the services.

5.3. Payment for the Services is made in Belarusian roubles (BYN).

5.4. The Contractor notifies the Client about changes in the price-list through https://yourhandsinbelarus.com/ official website or/and informs the Client through communication by phone or on the Internet no later than 5 (five) days before the changes enter into force.

5.5. If you pay for the services by card through Internet acquiring, a refund is made to the card you paid by. Money transfer to the card is made from 3 to 30 days from the date of the Contractor's refund.


6. PROCEDURE FOR TRANSFER AND ACCEPTANCE OF SERVICES PROVIDED

6.1. The provision of the Services is not accompanied by the Act of delivery and acceptance of services.

6.2. The provision of the Services within the framework of this Agreement is confirmed by the report on the work done by the Contractor. The Contractor sends the report to the Client.

6.3. The report on the work done by the Contractor may include photos, videos, screenshots, routes of trips, and other confirmatory pictures. The report may not include such pictures if there is no necessity. The Contractor decides whether pictures are necessary.


7. LIABILITY OF THE PARTIES

7.1. The guilty Party is responsible for the failure or improper performance of the obligations under this Agreement in compliance with the current legislation of the Republic of Belarus and the peculiarities set forth by this Agreement.

7.2. The Contractor is not responsible under the Offer Agreement for discrepancy between the Services provided and subjective expectations and ideas of the Client about these Services.


8. DURATION AND PROCEDURE FOR TERMINATION OF THIS AGREEMENT

8.1. The present Agreement is concluded at the moment the pre-payment is received by the Contractor and is valid until the parties fulfill their obligations under this Agreement or/and the Contractor sends the report on the work done to the Client.

8.2. The Client agrees absolutely about the fact that if this Agreement is annulled in compliance with Cl. 7.2 of the present Agreement, he loses the right to claim a refund of the sum the Client paid for the Services, even if the validity period of the Services hasn't yet ended.

8.3. This version of the Public Offer Agreement comes into effect on July 1, 2019.

8.4. The Contractor has the right to change the terms of the agreement unilaterally by publishing these changes on https://yourhandsinbelarus.com/ official website.

8.5. The Client shall immediately inform the Contractor about all the changes in the details, order, contact numbers, e-mails, and other information necessary for keeping to the agreement in the written form. Otherwise, the Client covers all the losses that the absence of this information may incur by uncontested procedure.


9. OTHER TERMS AND CONDITIONS

9.1. The Parties absolutely accept the legal force of the text of this agreement in Russian.

9.2. Disputes over the agreement are solved through negotiation. If the parties cannot agree, disputes are adjudicated by the court (Economic Court or the court of general jurisdiction) in compliance with the legislation of the Republic of Belarus. The pre-trial settlement of the dispute is not obligatory.

9.3. Questions arising from the interpretation and application of this Agreement and not settled by it are governed by the current legislation of the Republic of Belarus.
